Overview

These Terms of Service ("Terms") govern your use of the Lowe's Group Purchasing Organization ("GPO") enrollment form operated by REI Partnership Hub, LLC ("RPH") on behalf of your participating Chapter.

By submitting the enrollment form, you agree to these Terms. If you do not agree, do not submit the form.

The Three-Party Relationship

The GPO program involves three parties:

RPH ("Grandparent"): RPH operates the GPO under a supply agreement with Lowe's Companies, Inc. RPH manages the program infrastructure, enrollment processing, and reporting. RPH is not Lowe's and does not control Lowe's pricing, product availability, store operations, or account policies.

Your Chapter ("Parent"): Your Chapter participates in the RPH GPO under a Chapter Participation Agreement. Your Chapter sponsors your access to the GPO as a benefit of your membership. Your Chapter does not set or control the discount rates, which are established by the agreement between RPH and Lowe's.

You ("Child" / Member): You are enrolling in the GPO through your Chapter. Your enrollment connects your existing My Lowe's Pro Rewards account to your Chapter's GPO account, which enables access to GPO pricing on eligible purchases.

What Enrollment Does

When you submit the enrollment form, RPH transfers the required data to Lowe's National Program Department on behalf of your Chapter to enroll you in the GPO program. That is the sole function of the enrollment form.

Lowe's then aligns your My Lowe's Pro Rewards account under your Chapter's GPO account. Once confirmed by Lowe's (typically 24 to 48 hours), GPO pricing becomes active on eligible purchases through your existing My Lowe's Pro Rewards account.

Enrollment does not create a new Lowe's account. It does not change your Lowe's login, password, or account settings. GPO pricing layers on top of your existing My Lowe's Pro Rewards account.

In the event of updates to the GPO program or issues regarding your enrollment, RPH may contact you via email on behalf of your participating Chapter to resolve or remedy issues. Email is the sole communication channel RPH will use to contact you.

Eligibility

To enroll in the GPO, you must:

- Be an active member of a participating Chapter in good standing

- Have an active My Lowe's Pro Rewards account with Lowe's

- Provide accurate and complete information on the enrollment form

RPH and Lowe's reserve the right to deny or revoke enrollment if the eligibility requirements are not met.

Accuracy of Information

You are responsible for providing accurate information on the enrollment form. If your My Lowe's Pro Rewards account information changes (name, email, phone, Pro Account ID), you must notify your Chapter or RPH to update your enrollment records.

RPH is not responsible for delays or failures in enrollment caused by inaccurate information provided by you.

You agree to indemnify, defend, and hold harmless REI Partnership Hub, LLC, its members, officers, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising out of or related to inaccurate, false, or misleading information you provide on the enrollment form.

GPO Pricing and Benefits

GPO pricing is determined by the agreement between RPH and Lowe's. RPH does not guarantee specific discount rates, product availability, or pricing on any individual product.

GPO pricing applies through specific channels as determined by Lowe's, which may include but are not limited to: Lowes.com, paint purchases, the Lowe's Pro Supply catalog, and Pro Desk volume orders. GPO pricing does not necessarily apply to all in-store purchases.

Lowe's may modify, suspend, or discontinue GPO pricing at any time. RPH will communicate material changes to participating Chapters, and Chapters will communicate changes to their members.

No Warranty

RPH provides the GPO enrollment infrastructure on an "as is" basis. RPH does not warrant that the enrollment process will be uninterrupted or error-free, that Lowe's will approve every enrollment request, or that GPO pricing will be available on any specific product or at any specific time.

RPH is not Lowe's and has no control over Lowe's operations, pricing decisions, product availability, or account management.

Limitation Of Liability

To the maximum extent permitted by law, RPH's total liability to you for any claim arising out of or related to the GPO enrollment process or these Terms is limited to the amount of any fees you paid to RPH in connection with enrollment (currently $0, as enrollment is free).

RPH is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the GPO program, including but not limited to lost savings, pricing discrepancies, or changes to your My Lowe's Pro Rewards account.

RPH shall be held harmless in the event of any data breach by Lowe's Companies, Inc. or any of its subsidiaries. Once enrollment data is transmitted to Lowe's, RPH bears no responsibility for the security, handling, or storage of that data within Lowe's systems.

RPH shall also be held harmless in the event of any data breach, misuse, or unauthorized disclosure by your participating Chapter or any of its officers, employees, or agents. Once enrollment confirmation is provided to your Chapter, RPH bears no responsibility for your Chapter's handling, storage, or use of that information beyond the scope of the GPO program.

Withdrawal

You may withdraw from the GPO at any time by contacting your Chapter or RPH at [email protected]. Upon withdrawal, Lowe's will remove your account from the Chapter's GPO account. Your My Lowe's Pro Rewards account will revert to standard Pro pricing.

Withdrawal does not affect your Chapter membership or your My Lowe's Pro Rewards account itself.

Termination

RPH or your Chapter may terminate your GPO enrollment if:

- You are no longer an active member of your participating Chapter

- You provided inaccurate information on the enrollment form

- Your Chapter withdraws from the RPH GPO program

- RPH's supply agreement with Lowe's is terminated or materially modified

RPH will provide reasonable notice of termination when possible.

Force Majeure

RPH shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond RPH's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or orders, changes in law or regulation, acts of terrorism, war, labor disputes, power failures, internet or telecommunications failures, cyberattacks on third-party infrastructure, termination or material modification of Lowe's supply agreement with RPH, or failure of RPH's operational platforms or third-party service providers.

In the event of a force majeure occurrence, RPH will provide written notice to affected Chapters within a reasonable timeframe describing the nature of the event and the expected duration. RPH's obligations under these Terms will be suspended for the duration of the force majeure event without penalty or liability.

Consent

By checking the "I have read and agree to the Privacy Policy and Terms of Service" box on the enrollment form and clicking Submit, you acknowledge that you have read, understood, and agree to be bound by these Terms and the accompanying Privacy Policy. Submission of the enrollment form without checking the consent box is not possible. Your checked consent and submission constitute your electronic signature and acceptance of these Terms.

Governing Law And Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the GPO enrollment process, or your participation in the GPO program shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

Arbitration shall take place in Denver, Colorado, unless the Parties agree otherwise in writing. The arbitrator's decision shall be final and binding on all Parties.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against REI Partnership Hub, LLC.

Changes To These Terms

RPH may update these Terms from time to time. Changes will be posted on the enrollment page with an updated "Last Updated" date. Continued participation in the GPO after changes are posted constitutes acceptance of the revised Terms.
